Terms and Conditions
Welcome to Opecstat. By accessing or using the Opecstat website (www.opecstat.com), mobile applications, or any associated services (collectively, the "Service"), you agree to be legally bound by these Terms and Conditions ("Terms"). These Terms form a binding contract between you ("User," "Instructor," "Learner," or "you") and Opecstat ("Company," "we," "our," or "us"). By registering, making any payment, or continuing to use the Service, you unconditionally accept these Terms in full. If you do not agree, you must immediately stop using the Service. Your use of the Service after any update to these Terms constitutes acceptance of the revised Terms, regardless of whether you have read them.
1. Definitions
- "Learner": Any individual who accesses and uses the Service to enroll in, purchase, or view courses.
- "Instructor": Any individual or entity that creates, uploads, and delivers content or courses through the Service.
- "Content": Includes but is not limited to courses, videos, text, quizzes, assignments, projects, and any other materials provided through the Service.
- "Platform": The technology, tools, and services provided by Opecstat to facilitate eLearning and interactions between Learners and Instructors.
2. Eligibility
You must be at least 16 years of age to use the Service. If you are under 18, you may use the Service only with the consent of a parent or legal guardian, who also accepts these Terms on your behalf and assumes full liability. By using the Service, you confirm that all information you provide is accurate and that you meet these eligibility requirements. Opecstat reserves the right to refuse access to anyone at its sole and absolute discretion, without reason or liability.
3. User Accounts
- You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, whether or not authorized by you.
- You agree to provide accurate, complete, and current information when registering and to update your information promptly when it changes. Providing false information is grounds for immediate termination.
- Opecstat reserves the right to suspend, restrict, or permanently terminate your account at any time, for any reason or no reason, with or without notice, and with no obligation to refund any fees paid.
- Opecstat may reclaim usernames or account identifiers at its discretion. Inactive accounts may be deleted without notice.
- You may not share, sell, transfer, or grant access to your account to any third party. Any violation of this clause entitles Opecstat to terminate your account and pursue legal remedies.
4. Content Ownership and Licensing
Instructors retain ownership of the original content they create. However, by submitting any content to Opecstat, you grant us an irrevocable, worldwide, royalty-free, fully transferable, sublicensable, perpetual, and exclusive license to host, reproduce, distribute, market, publicly display, modify, and otherwise use the content in any manner and at any price we deem appropriate — across digital platforms, promotional campaigns, partnerships, sales bundles, or any other commercial or educational use — without requiring further permission or compensation.
- Opecstat has sole authority and full discretion over how content is used, distributed, monetized, priced, or packaged.
- We reserve the right to review, modify, or remove any content at any time without notice or liability.
- Any feedback, suggestions, or ideas you submit to Opecstat become the exclusive property of Opecstat and may be used without restriction or compensation to you.
- Instructors may not upload content that is plagiarized, infringes on intellectual property rights, or is unlawful in any jurisdiction.
5. Payments, Fees, and Refund Policy
Pricing Structure
- Price Modifications: Opecstat reserves the right to change any fee at any time without prior notice. The fee displayed at the time of your payment is the binding amount for that transaction only.
- Micro-Access Fee: Unlocking full lesson access requires a one-time fee (currently ₦2,500 / $2.99 for non-Nigerian users), or may be earned through 6 qualifying referrals.
- Module Unlock Fee: Full program content access requires an additional payment (currently ₦10,000 / $10.99, reducible based on qualifying referrals).
- Certificate Fee: A mandatory certificate fee (currently ₦22,000 / $22.99) is required for credential issuance. Additional fees per completed module may apply.
- Professional Tools & Career Path Fee: Access to the Career Path and associated Professional Tools — including the CV Builder, Recommendation Letter, Career Readiness Assessment, and Job Match Report — requires a one-time fee (currently ₦35,000 / $34.99). This fee is separate from the certificate fee and is payable after program completion and certificate issuance.
- Re-enrollment Fee: Accounts disenrolled due to inactivity incur a re-enrollment fee (currently ₦10,000 / $10.99) before access is restored.
No Refund Policy
All payments made to Opecstat are final and strictly non-refundable, without exception. This applies to all fee types, including enrollment fees, micro-access fees, module unlock fees, certificate fees, professional tools and career path fees, and re-enrollment fees. No refund will be issued for any reason, including change of mind, inactivity, disenrollment, inability to complete the program, dissatisfaction with content, technical difficulties on the user's end, or any other circumstance. By completing any payment, you irrevocably waive any right to a chargeback, reversal, or refund. The sole exception is where Opecstat has entirely failed to provide access to the service paid for — the existence and extent of such failure being determined solely by Opecstat. This policy is lawful and enforceable under the Federal Competition and Consumer Protection Act (FCCPA) 2019.
For Instructors
- Revenue from course sales will be shared according to the revenue-sharing agreement in place at the time of sale.
- Opecstat may withhold or forfeit payments to Instructors for suspected fraud, Terms violations, chargebacks, or any conduct Opecstat deems detrimental to the platform.
- Instructors are solely responsible for any taxes applicable to their earnings.
- Opecstat may adjust revenue share percentages with 30 days' notice.
6. Platform Rules and User Conduct
Violations of any rule below are grounds for immediate termination without refund and may result in civil or criminal legal action:
- No hacking, scraping, spamming, reverse-engineering, or distributing malicious software targeting the platform or its users.
- No posting or sharing of obscene, defamatory, discriminatory, or unlawful content.
- No unauthorized reproduction, downloading, recording, redistribution, or resale of any platform content. Opecstat will actively pursue legal remedies for content piracy.
- No soliciting other users for personal business, competing services, or unauthorized commercial activity.
- Opecstat may monitor all user activity and content at any time without notice, and may report unlawful activity to authorities.
7. Disenrollment and Program Activity
- Learners who are inactive for six (6) consecutive days will be automatically disenrolled. Opecstat bears no liability for any consequences of disenrollment.
- Re-enrollment requires payment of a reactivation fee (currently ₦10,000 / $10.99). Failure to pay forfeits all progress, streaks, and access — permanently, at Opecstat's discretion.
- Opecstat reserves the right to modify disenrollment triggers, timelines, and fees at any time.
- Disenrollment reversals, if granted, are at Opecstat's sole discretion and do not set any precedent for future cases.
8. Intellectual Property
All intellectual property — including platform design, code, branding, course structure, AI tools, and trademarks — is exclusively owned by Opecstat. No user acquires any ownership right in any part of the platform by virtue of using it.
- You may not reproduce, distribute, create derivative works from, or commercially exploit any part of the platform without prior written consent from Opecstat.
- Any unauthorized use of Opecstat's intellectual property entitles Opecstat to seek injunctive relief, damages, and recovery of legal costs.
- All feedback and suggestions submitted to Opecstat are assigned to Opecstat automatically and may be used freely without any obligation to you.
9. Disclaimer of Warranties and Outcomes
- The Service is provided strictly on an "as is" and "as available" basis. Opecstat makes no warranties of any kind, express or implied.
- Opecstat does not guarantee that the Service will be uninterrupted, error-free, virus-free, or secure. Scheduled or unscheduled downtime may occur without notice or compensation.
- Opecstat makes no guarantee of any employment, income, career advancement, skill certification recognition, or other outcome from using the Service. Any illustrative results described on the platform are examples only, not promises.
- Opecstat does not warrant the accuracy, completeness, or fitness for any purpose of any content on the platform.
- You use the Service entirely at your own risk.
10. Limitation of Liability
To the fullest extent permitted by law, Opecstat shall not be liable for any direct, indirect, incidental, consequential, punitive, or special damages of any kind — including loss of data, loss of income, loss of opportunity, or reputational harm — arising from your use of or inability to use the Service.
- Opecstat's total cumulative liability to you, for any and all claims combined, shall not exceed the lesser of ₦10,000 or the total amount you paid to Opecstat in the three (3) months preceding the event giving rise to the claim.
- Opecstat is not liable for failures, interruptions, or errors caused by third-party services, payment processors, internet providers, or any circumstances outside Opecstat's direct control.
- Opecstat is not responsible for any Instructor conduct, content accuracy, or actions taken by other users on the platform.
- You acknowledge that this limitation is a fundamental element of the basis of the bargain between you and Opecstat, without which Opecstat would not provide the Service.
11. Indemnification
You agree to indemnify, defend, and hold harmless Opecstat and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your breach of any provision of these Terms;
- Your use or misuse of the Service;
- Any content you submit, post, or transmit through the Service;
- Any third-party claim arising from your conduct on the platform.
If you bring any claim against Opecstat that is dismissed, withdrawn, or decided in Opecstat's favour, you agree to reimburse Opecstat for all legal costs and fees incurred in defending that claim.
12. Force Majeure
Opecstat shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to: acts of God, internet or telecommunications outages, government actions or regulations, economic disruptions, strikes, pandemics, cyberattacks, power failures, or any other event outside Opecstat's direct control. In such events, Opecstat's obligations are suspended for the duration of the disruption without any liability to users.
13. Modifications to the Service and Terms
- Opecstat may modify, suspend, or discontinue any part of the Service at any time and for any reason, with or without notice, and without liability.
- These Terms may be revised at any time. The updated version will be posted at this URL. Your continued use of the Service after an update is posted constitutes your unconditional acceptance of the revised Terms, whether or not you have read them.
- It is your responsibility to review these Terms periodically.
14. Dispute Resolution and Governing Law
Mandatory Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration in Lagos, Nigeria, administered under the Arbitration and Mediation Act 2023. The arbitrator's decision shall be final, binding, and enforceable in any court of competent jurisdiction. You expressly waive any right to bring any dispute before a court of law.
- Class Action Waiver: You waive any right to bring or participate in any class action, collective proceeding, or representative action against Opecstat. All claims must be brought individually.
- Time Limitation on Claims: Any claim against Opecstat must be filed within six (6) months of the event giving rise to the claim. Claims filed after this period are permanently barred, regardless of any applicable statute of limitations.
- These Terms shall be governed by the laws of the Federal Republic of Nigeria.
- Before initiating arbitration, parties agree to attempt good faith resolution for at least 21 days by written notice to support@opecstat.com.
15. Termination
- Opecstat may terminate or suspend your access to the Service immediately, at any time, for any reason or no reason, without notice and without liability.
- Upon termination, all your rights to use the Service cease immediately. No fees will be refunded.
- Opecstat reserves the right to delete your account data upon termination with no obligation to preserve or transfer it.
- All provisions of these Terms that by their nature should survive termination shall do so — including the no-refund policy, IP rights, indemnification, limitation of liability, and dispute resolution clauses.
16. User Acknowledgments
By using the Service, you expressly acknowledge and agree that:
- You have read and understood these Terms before registering and before making any payment;
- All payments are final and non-refundable;
- Inactivity for 6 consecutive days results in automatic disenrollment and a re-enrollment fee;
- Access to the Career Path and Professional Tools (CV Builder, Recommendation Letter, Career Readiness Assessment, and Job Match Report) requires a separate one-time fee payable after program completion;
- Opecstat makes no guarantee of employment, income, or any specific outcome from using the platform;
- Opecstat may modify, suspend, or terminate the Service or your account at any time without compensation;
- Any dispute must be resolved through individual arbitration within 6 months of the event.
17. General Provisions
- Entire Agreement: These Terms, together with any policies linked herein, constitute the entire agreement between you and Opecstat. No verbal representations, social media statements, or external communications by Opecstat or its staff shall modify these Terms.
- Waiver: Failure by Opecstat to enforce any right or provision shall not constitute a waiver of that right.
- Severability: If any provision is held invalid or unenforceable, the remaining provisions continue in full force.
- Assignment: Opecstat may assign these Terms or any rights hereunder at any time without notice. You may not assign your rights without Opecstat's prior written consent.
- No Partnership: Nothing in these Terms creates any partnership, joint venture, agency, or employment relationship between you and Opecstat.
